FinePrint Solutions Company records

Get the company record ready before diligence

Investors, acquirers and large customers ask to see a company's legal records. FinePrint Counsel gathers what you have, finds what is missing or does not match, prepares the fixes, and keeps the record in your Legal Room. Lawyers supervise the work.

What diligence looks for

When a company raises money or is acquired, the other side reviews its formation documents, consents, cap table, equity grants, IP assignments, commercial agreements and employment paperwork.

They look for gaps: a grant without a board consent, an engineer who never signed an IP assignment, a contract that cannot be transferred to a buyer. Found now, those gaps can be fixed on your schedule instead of in the middle of a deal.

How FinePrint Counsel checks the record

  1. You upload what you have, in whatever state it is in, and mark anything you know is missing. FinePrint Counsel shows the plan and what it will cost before it starts.

  2. It sorts the documents into your company record: the entity, the people, the equity, the contracts and the obligations.

  3. It checks the record against itself: every grant against a board consent, everyone who builds for the company against an IP assignment, and the cap table against the stock issued.

  4. It lists what is missing or does not match, and links each item to the documents that show the gap.

  5. For each gap it prepares the fix, such as a board consent that approves a grant after the fact, or an IP assignment that confirms the company owns the work, and sends it for review and signature.

  6. When the milestone arrives, it prepares the data room from the record.

Where a lawyer reviews the fixes

Legal work follows a process lawyers approved and sample-check. Work that needs additional legal judgment waits for review by a lawyer or an approved legal professional.

Some gaps are paperwork, such as a missing signature page. Others change the company's legal history, such as approving a grant after the fact or correcting who owns which shares. For a priced round or an acquisition, FinePrint Counsel prepares the record and a brief for the lawyer who leads the deal.

Check messages against the company record

FineShield is the other half of your Legal AI Team. Once the record is in order, it works like legal autocorrect: it checks email, Slack and calls against the agreements, policies and approval limits in it, and flags a message that goes past them while it can still be fixed.
